These VIP Specials Terms & Conditions ("Terms") govern the availability, benefits, rights and limitations of the AliExpress VIP Specials membership (“VIP Specials Membership”), Eligible Members (defined under Clause 1) who completed payment for the VIP Specials at USD1.99 during the Eligible Period (defined under Clause 2) will be entitled to enjoy the VIP Specials Benefits (defined under Clause 3).

You are contracting with Alibaba.com Singapore E-Commerce Private Limited (Company Registration No. 200720572D) ("AliExpress”) under these Terms.

1. Eligible Member: only registered users of the AliExpress platform who are honored fans selected and invited by the AliExpress platform (“Eligible Members”) will be entitled to the VIP Specials membership according to these Terms and Conditions.

2. Eligible Period: the VIP Specials Membership will be valid from the date of registration until INSERT DATE (PST) (“Eligible Period”)

3. Eligible Jurisdiction: Spain.

4. VIP Specials Benefits: Eligible Member who registered and completed payment for the VIP Specials at USD1.99 during the Eligible Period in the Eligible Jurisdiction will be entitled to the benefits described below:

1) A complimentary package of three (3) AliExpress Coupons listed below (such coupons, “VIP Specials Joys”), where each AliExpress Coupon entitles the VIP Specials an immediate deduction a dollar amount (such deductible amount and/or face value, “Face Value”) from the total amount payable for his/her transaction on the AliExpress platform, provided that the total amount payable for that transaction meets the minimum spend requirement (such minimum spend requirement, “Threshold”):

The VIP Specials Joys shall be subject to the following terms and conditions
a. VIP Specials Joys will be credited to the Eligible Member’s account after he or she completes payment.
b. VIP Specials Joys can only be used within 30 days after the date of receipt, but shall in no circumstances later than June 30, 2020 (such time period, “Usage Period”). Any attempted usage of the VIP Specials Joys outside the Usage Period will not be allowed, and the VIP Specials Joys will be ineffective.
c. The usage of any VIP Specials Joys is further subject to the AliExpress Coupons Terms and Conditions: https://service.aliexpress.com/page/knowledge?pageId=37&category=1000022028&knowledge=1060015167&language=en

2) A designated page for VIP Specials, which includes premium offering price for certain products, promotional campaigns and/or events on AliExpress platform.

3) The Spanish Fans Club member benefits. For clarity, Spanish Fans Club is a Spanish AliExpress user community operated and by AliExpress Spain, for the purpose of better serving AliExpress users.

4. The VIP Specials Membership is limited in number, and only allowed for registration by Eligible Members on a first-come-first-served basis.

5. Unless otherwise specified, the VIP Specials Membership will become invalid upon end of the Eligible Period.

6. The VIP Specials, and any VIP Specials Benefits are NOT transferrable, refundable, or exchangeable for cash.

7. Each Eligible Member is only entitled to pay for VIP Specials and/or enjoy the VIP Specials Benefits once.

8. In the event that you breach any of the following, or if AliExpress suspects that you are in breach of any of the following (as determined by the AliExpress in its sole discretion), AliExpress reserves the right and absolute discretion to cancel or revoke your eligibility to purchase the VIP Specials, and/or terminate your VIP Specials Membership without prior notice, cancel any orders made using any VIP Specials Joys given inappropriately to you (and refunding any amounts you may have paid for that order using the original method of payment (if applicable)) and/or take legal action in such instances to recover any outstanding amounts:

1) You represent and warrant that you are 18 years of age or older, and that you have obtained all necessary third party consents (including any consents required under data protection laws and regulations), approvals or permits required to pay for the VIP Specials or enjoy the VIP Specials Benefits;

2) You agree and undertake NOT to:
a. Undertake fraudulent activities or other activities which may damage or interfere with AliExpress website; attempt to gain for yourself or any other person any unfair advantage with respect to payment of the VIP Specials Membership or the relevant benefits; including by using cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software, or by exploiting any bugs or errors in the AliExpress Platform or using other fraudulent methods;

b. Engage in fraud and/or abuse of the VIP Specials Membership;

c. Circumvent the limits described under Clause 1 and/or Clause 6, including registering for multiple AliExpress.com accounts;

d. Use (whether authorized or not) AliExpress.com accounts of individuals other than the account registered to you;

e. Carry out illegal or unlawful (or potentially illegal or unlawful) activities, including money laundering, gambling or fraudulent transactions; or

f. Carry out any other activities which constitute a violation of these Terms or dishonest, malicious, fraudulent, unlawful or, in the opinion of AliExpress, inappropriate acts.

9. AliExpress reserves the right to amend these Terms, as well as to vary or terminate the VIP Specials Membership, at any time by posting the amended and restated version on the AliExpress.com website. The amended and restated Terms shall be effective immediately upon posting unless otherwise stated. After posting of the amended and restated Terms, your continued use of the AliExpress platform shall be deemed as your acceptance of the amended and restated Terms.

10. TO THE FULLEST EXTENT PERMITTED BY LAW, ALIEXPRESS SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS OR REVENUES, BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF DATA, WHETHER IN CONTRACT, NEGLIGENCE, TORT OR OTHERWISE, ARISING FROM THE ELIGIBILITY TO, PAYMENT OF VIP SPECIALS, AND/OR ENJOYMENT OF VIP SPECIALS BENEFITS.

11. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“Hong Kong”) without regard to any of its conflict of law provisions. You and hereby agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes that arise out of this Terms and Conditions.
