Contrato de servicios AliExpress para vendedores en la plataforma española	AliExpress Service Agreement for Sellers for Spanish Mall platform
El presente contrato ha sido suscrito entre el usuario vendedor (en adelante, el “Vendedor” o “Usted”) y el proveedor de servicios Alibaba.com Singapore E-Commerce Private Limited, con domicilio en 10 Collyer Quay, número 10-01, Ocean Financial Centre, 049315 Singapur, sociedad constituida en el Registro Mercantil de Singapur con el No. 200720572D (en adelante, “Nosotros” o “AliExpress”). El Vendedor y AliExpress serán denominados conjuntamente como las “Partes”, y cada uno de ellos, una “Parte”. El presente contrato tiene efectos vinculantes.	This agreement has been signed by the seller user (hereinafter, the “Seller” or “You”) and the service provider Alibaba.com Singapore E-Commerce Private Limited, with registered office in 10 Collyer Quay, 10-01, Ocean Financial Centre, 049315 Singapore, incorporated in Singapore with Company Reg. No. 200720572D (hereinafter, “We”, “Us” or “AliExpress”). The Seller and AliExpress shall be jointly referred to as the “Parties” and each one as a “Party”. This agreement is binding.
Cláusula 1. Expositivo	Clause 1. Recital
1.1 Las Partes deberán cumplir con el presente contrato. El presente contrato tiene por objeto regular los términos y condiciones bajo los cuales el Vendedor puede ofrecer la venta de productos en la Plataforma ES AliExpress (tal y como este término se define más adelante).	1.1 The Parties shall comply with this agreement. The object of this agreement is to regulate the terms and conditions under which the Seller may offer to sell products on the AliExpress ES Platform (as this term is defined below).
1.2 “Las Reglas para los Vendedores de la Plataforma ES AliExpress” forman parte del presente contrato; además del presente contrato, Usted deberá cumplir con el “Acuerdo de Suscripción Gratuita”, el “Acuerdo de Servicios de Transacción de Alibaba.com”, la “Política de Privacidad y de Cookies”, los “Términos de Uso”, la “Política de Listado de Productos” y cualesquiera otros acuerdos suscritos en el momento de crear su cuenta (conjuntamente, los “Contratos del Usuario de la Plataforma”). 1.3 El importe debido por el Vendedor a AliExpress consistirá en un porcentaje sobre el valor de cada transacción realizada por el Vendedor a través de la Plataforma ES AliExpress según se indica en las Reglas para los Vendedores de la Plataforma ES AliExpress.	1.3 The amount to be charged by AliExpress to the Seller will be a percentage over the value of each transaction performed by the Seller throughout the AliExpress ES Platform as indicated in the AliExpress Rules for the ES Platform Sellers.
Cláusula 2. Definiciones	Clause 2. Definitions
2.1 "Plataforma ES AliExpress”: significa la plataforma comercial electrónica ubicada en https://plaza.aliexpress.com o en aquellos sitios web o dominios que Nosotros indiquemos en cada momento.	2.1 “AliExpress ES Platform”: means the commercial electronic platform located at https://plaza.aliexpress.com or such successor site and/or domains as may be announced by Us from time to time.
2.2 “Categoría”: significa la organización de la Plataforma ES AliExpress en categorías principales operativas (incluyendo categorías especiales), en función del tipo de producto y de conformidad con los requisitos de su comercialización. Cada categoría principal (así como las categorías especiales) tiene sus propias reglas de adhesión en función del tipo de producto, de su estrategia operativa y posicionamiento de marcas, y se regirá de forma general por las Reglas para los Vendedores de la Plataforma ES AliExpress en materia de adhesión que están disponibles aquí. Respecto de cada categoría principal operativa se analizarán y decidirán individualmente sus solicitudes de adhesión.	2.2 “Category”: means the organization of the AliExpress ES Platform into main operating categories (including special categories), depending on the type of product and in accordance with their commercialization requirements. Each main category (as well as the special categories) has its own joining rules on the basis of the type of product, operating strategy and brand position, and will be generally governed by the joining AliExpress Rules for the ES Platform Sellers that are available here. Regarding each main operating category, applications to join will be examined and decided upon individually.
2.3 “Servicio de Categoría” o “Servicio”: significa el servicio de publicación de contenidos en la Plataforma ES AliExpress (incluyendo, pero no limitado a, información sobre Usted, los productos que Usted oferte y los términos aplicables a su comercialización) y otros servicios técnicos relacionados facilitados a Usted por AliExpress de acuerdo con los Contratos del Usuario de la Plataforma y el presente contrato, en el marco de sus actividades operativas de cada Categoría.	2.3 “Category Service” or “Service”: means the service for the publication of contents on the AliExpress ES Platform (including, without limitation, information on You, the products which You offer, and the terms applicable to their commercialization) as well as other related technical services provided to You by AliExpress under the Platform User Agreements and this agreement, as part of its operating activities in each Category.
2.4 “Inicio de los Servicios”: significa el proceso por el cual AliExpress notifica al Vendedor que ha superado el proceso para su aceptación como Vendedor y, por lo tanto, que está autorizado para publicar productos en las distintas Categorías y utilizar los Servicios de Categoría, de conformidad con lo dispuesto en la cláusula 4.	2.4 “Start of the Services”: means the process by which AliExpress notifies the Seller that it has successfully passed the process for acceptance as a Seller, and thus is authorised to publish products in the various Categories and use the Category Services, as stipulated in clause 4.
2.5 “Medidas de Gestión de la Plataforma ES AliExpress”: significa las medidas que AliExpress puede adoptar en los supuestos de incumplimiento del presente contrato por parte del Vendedor para garantizar un funcionamiento organizado de la Plataforma ES AliExpress, incluyendo pero no limitándose a la eliminación y baja de productos, limitación a la publicación de productos, suspensión de los Servicios de Categoría, baja, suspensión o cierre de cuenta, o instruir a “Alipay.com Co. Ltd.” para que adopte medidas limitativas a la “Cuenta Internacional Alipay” del Vendedor.	2.5 “Measures for the Management of the AliExpress ES Platform”: means the measures that AliExpress can take in the cases of breach of this agreement by the Seller to ensure organised operation of the AliExpress ES Platform, including, without limitation, the removal and deregistration of products, the application of restrictions on the publication of products, the suspension of the Category Services, account deregistration, suspension, or closure, or instructing “Alipay.com Co. Ltd.” and/or its affiliates to take measures limiting the Seller's “Alipay International Account”.
2.6 “Proceso de Baja”: significa el proceso de baja que se inicia cuando se solicite por el Vendedor, se acuerde por AliExpress, o se cumplan determinadas condiciones para la terminación del presente contrato. Durante el Proceso de Baja, AliExpress dejará de prestar los Servicios de Categoría al Vendedor y adoptará las correspondientes Medidas de Gestión de la Plataforma ES AliExpress, el Vendedor debe cumplir con sus correspondientes obligaciones y realizar las actuaciones establecidas en el presente contrato y en las normas aplicables. El Proceso de Baja se divide a su vez en la baja de la Categoría, y la baja de la Plataforma ES AliExpress.	2.6 “Deregistration Process”: means the deregistration process that starts at the Seller's request, when decided by AliExpress, or when certain conditions for the termination of this agreement are met. During the Deregistration Process, AliExpress shall cease to provide the Category Services to the Seller and undertake the relevant Measures for the Management of the AliExpress ES Platform, the Seller shall fulfil its obligations and perform the actions stipulated in this agreement and in the applicable rules. The Deregistration Process is in turn divided into Category deregistration and deregistration from the AliExpress ES Platform.
2.7 “Criterios de Evaluación del Rendimiento para el año 2017”: significa el criterio de evaluación del rendimiento establecido para 2017 y con posterioridad para los años subsiguientes y publicado por AliExpress aquí de acuerdo con las particularidades de rendimiento de cada Categoría, incluyendo pero sin limitarse a los ajustes realizados por AliExpress a los Criterios de Evaluación del Rendimiento para el año 2017 con base en las distintas circunstancias del rendimiento de cada Categoría.	2.7 “Criteria for Performance Evaluation for 2017”: means the criterion for performance evaluation established for 2017 and for subsequent periods thereafter and published by AliExpress here according to the performance peculiarities of each Category, including, without limitation, the adjustments made by AliExpress to the Performance Evaluation Criteria for 2017 on the basis of the different performance circumstances for each Category.
Cláusula 3. Entrada en vigor y ámbito de aplicación	Clause 3. Coming into force and scope of application
3.1 Usted ha solicitado voluntariamente formar parte de una o varias Categorías AliExpress correspondientes. AliExpress le prestará los Servicios de Categoría conforme a lo establecido en el presente contrato.	3.1 You have voluntarily requested to join one or more corresponding AliExpress Category. AliExpress shall provide the Category Services as established in this agreement.
3.2 Al pulsar al botón de aceptar, Usted está aceptando y comprometiéndose a cumplir el presente contrato en todos sus términos.	3.2 By clicking the accept button, You are accepting and undertaking to fulfil this agreement in all its terms.
3.3 El presente contrato consta del texto del contrato, sus anexos y todas las normas y anuncios publicados por AliExpress (incluyendo “Criterios de Evaluación del Rendimiento para el año 2017”, “Reglas para los Vendedores de la Plataforma ES AliExpress” y las normas de gestión del funcionamiento de cada Categoría) (en adelante, conjuntamente el “Contrato”). El presente Contrato forma parte y complementa los Contratos del Usuario de la Plataforma, con los mismos efectos legales. AliExpress se reserva el derecho en cada momento de establecer o modificar cualesquiera reglas que rijan la Plataforma ES AliExpress. En tales supuestos, AliExpress le notificará según lo previsto en este Contrato. Las reglas de la plataforma modificadas entrarán en vigor desde su publicación, formando parte del presente Contrato. Si no estuviera de acuerdo con la modificación pertinente, deberá abstenerse de seguir utilizando los Servicios de Categoría. Si continúa utilizando los Servicios de Categoría, se entenderá que Usted no tiene objeciones contra el Contrato modificado y se compromete a cumplirlo.	3.3 This agreement comprises the text of the agreement, its appendices, and all the rules and announcements published by AliExpress (including the “Performance Evaluation Criteria for 2017”, the “AliExpress Rules for the ES Platform Sellers ”, and the management rules for operation of each Category) (hereinafter, referred to jointly as the “Agreement”). This Agreement is part of and supplements the Platform User Agreements, with the same legal effects. AliExpress reserves the right to establish or modify any and all rules governing the AliExpress ES Platform at any time. In these cases, AliExpress shall notify as provided in this Agreement. The modified platform rules shall come into force from publication, and become a part of this Agreement. Should You disagree with the relevant modification, You should refrain from continuing to use the Category Services. If You continue to use the Category Services, You will be understood to have no objections to the modified Agreement and undertake to fulfil it.
3.4 Usted entiende y acepta que la aceptación del presente Contrato no supone el inicio efectivo de los Servicios de Categoría. AliExpress realizará un procedimiento de revisión de la información y documentación que Usted nos facilite a efectos de adherirse a la Plataforma ES AliExpress y de los productos que Usted oferte, de conformidad con el procedimiento disponible aquí y aquí, o en aquellos sitios web o dominios que Nosotros indiquemos en el futuro. Una vez superado el procedimiento de revisión, si el resultado es positivo, se procederá al Inicio de los Servicios de conformidad con el presente Contrato en la fecha que determine AliExpress. El resultado del proceso de revisión será el notificado por AliExpress o en función de las limitaciones específicas del Inicio de los Servicios.	3.4 You hereby understand and accept that the acceptance of this Agreement does not entail the successful commencement of the Category Services. AliExpress will conduct a review of the information and documents with which You provide Us to join the AliExpress ES Platform and on the products that you offer, in accordance with any of the procedures described here and here, or at such successor site and/or domains as may be announced by Us from time to time. Once the review process is satisfactorily completed, the Services shall start under this Agreement on such date as advised by AliExpress. The result of the review process shall be that notified by AliExpress or on the basis of specific limitations to the Start of Services.
3.5 El presente Contrato tiene efectos desde la fecha de su aceptación, hasta el 31 de diciembre de 2017. Para los vendedores ya adheridos a la Plataforma AliExpress antes del inicio del año 2017, el presente Contrato tiene vigencia desde el 1 de enero de 2017 hasta el 31 de diciembre de 2017. Sin perjuicio de los derechos de modificación previstos para AliExpress en el presente Contrato, para periodos sucesivos, AliExpress podrá publicar no más tarde mediados del mes de noviembre de cada año natural el “Contrato de servicios AliExpress para vendedores en la plataforma española” aplicable para el año natural inmediatamente siguiente. Excepto si alguna de las Partes notifica a la otra su intención de terminar el contrato con al menos treinta (30) días de preaviso respecto de su expiración, se considerará que (i) Usted ha aceptado el “Contrato de servicios AliExpress para vendedores en la plataforma española” aplicable el siguiente año natural; o (ii) que el mismo “Contrato de servicios AliExpress para vendedores en la plataforma española” continuará siendo de aplicación si AliExpress no publica una nueva versión. Es de su única responsabilidad leer detenidamente cada nueva versión del “Contrato de servicios AliExpress para vendedores en la plataforma española”.	3.5 This Agreement shall be effective from the date of its acceptance to 31 December 2017. For sellers who joined the AliExpress Platform before the start of 2017, this Agreement shall be in force from 1 January 2017 to 31 December 2017. Without prejudice of the rights for modification granted to AliExpress in this Agreement, for successive periods, AliExpress may publish no later than mid-November of each calendar year the "AliExpress Service Agreement for Sellers for Spanish Mall platform" applicable for the immediately following calendar year. Unless either Party notifies the other of its intention to terminate the Agreement at least thirty (30) calendar days before its expiration, it shall be understood that (i) the Seller has accepted the “AliExpress Service Agreement for Sellers for Spanish Mall platform” applicable for the following calendar year; or (ii) the same "AliExpress Service Agreement for Sellers for Spanish Mall platform" will continue to apply if AliExpress has not published a new version. It is the sole responsibility of the Seller to read carefully each and any new “AliExpress Service Agreement for Sellers for Spanish Mall platform".
Cláusula 4. Inicio y limitaciones de los Servicios de Categoría	Clause 4. Start and limitation of the Category Services
4.1 Los Servicios de Categoría comenzarán dentro de los siete (7) días hábiles tras el cumplimiento de las siguientes condiciones:	4.1 The Category Services shall start within seven (7) business days from the fulfilment of the following conditions:
(a) El Vendedor se ha convertido en miembro de AliExpress, y ha aceptado los Contratos del Usuario de la Plataforma tales como, y sin que sirva de limitación, el “Alibaba.com Free Membership Agreement” y el “Alibaba.com Transaction Service Agreement”.	(a) The Seller has become a member of AliExpress, and has accepted the Platform User Agreements, such as, and without limitation, the “Alibaba.com Free Membership Agreement” and the “Alibaba.com Transaction Service Agreement”.
(b) El Vendedor ha aceptado el presente Contrato.	(b) The Seller has accepted this Agreement.
(c) El Vendedor ha facilitado toda la información y documentación según los requerimientos de cada Categoría, y ha superado el procedimiento de revisión de AliExpress.	(c) The Seller has provided all the information and documents required by each Category, and passed the AliExpress review process.
(d) El Vendedor cumple con los “Criterios de Evaluación del Rendimiento para el año 2017” correspondientes a los Servicios de Categoría solicitados.	(d) The Seller meets the “Performance Evaluation Criteria for 2017” for the Category Services requested.
(e) El Vendedor ha abonado los gastos conforme con las reglas de AliExpress.	(e) The Seller has paid following the AliExpress rules.
(f) Con anterioridad a la solicitud de los Servicios, no ha habido supuestos de venta de productos falsificados, fraude u otros supuestos de incumplimiento grave.	(f) Prior to the request for the Services, there have been no cases of sale of counterfeit products, fraud, or other cases of serious non-compliance.
(g) AliExpress ha enviado al Vendedor la notificación de Inicio de los Servicios.	(g) AliExpress has sent the Seller the notice regarding the Start of the Services.
4.2 Los Servicios comenzarán a partir de la fecha efectiva de Inicio de los Servicios, según lo previsto en la cláusula anterior, y finalizarán con la baja del Vendedor de la Categoría o la terminación del presente Contrato.	4.2 The Services shall begin on the effective date of the Start of the Services, as established in the previous clause, and shall end with the Seller's deregistration from the Category or the termination of this Agreement.
4.3 Salvo disposición en contra, dentro de los siete (7) días hábiles desde la aceptación del Vendedor del presente Contrato, si tuviera lugar cualquiera de los siguientes supuestos, AliExpress tendrá derecho a no iniciar el Servicio o a la terminación anticipada del presente Contrato: (i) el Vendedor no ha cumplido con todas las condiciones establecidas en la Cláusula 4.1 anterior para el Inicio de los Servicios, o (ii) AliExpress por cualquier motivo notifica al Vendedor la negativa a la prestación de Servicios. AliExpress no asumirá responsabilidad alguna por incumplimiento ni indemnizará por la finalización del presente Contrato con anterioridad al Inicio de los Servicios de acuerdo con lo antes previsto.	4.3 Unless otherwise stipulated, AliExpress shall be entitled not to initiate the Service or to early terminate this Agreement within seven (7) business days as of the Seller's acceptance of this Agreement, should any of the following circumstances take place: (i) the Seller has not fulfilled all the conditions set out in Clause 4.1 above for the Start of the Services, or (ii) AliExpress notifies the Seller for any reason of its refusal to the provision of Services. AliExpress shall not be liable for any breach or pay any compensation for the termination of this Agreement prior to the Start of the Services as established above.
4.4 Una vez iniciado el Servicio de Categoría, el Vendedor deberá realizar ante AliExpress la solicitud y uso de la denominación de su comercio conforme a las “Normas de Solicitud y Uso de Denominación de Comercio” establecidas dentro de las Reglas para los Vendedores de la Plataforma ES AliExpress.	4.4 Once the Category Service has started, the Seller shall file a request with AliExpress and use the name of its business in accordance with the “Rules for the Application for and Use of a Business Name” established in the AliExpress Rules for the ES Platform Sellers.
Cláusula 5. Servicios técnicos y gastos	Clause 5. Technical services and expenses
5.1 AliExpress prestará al Vendedor los servicios técnicos relacionados a los contenidos en la Plataforma ES AliExpress, incluyendo pero sin limitarse a la gestión de Categoría, publicación de productos de Categoría, servicio de gestión de transacciones y cualesquiera otros software y servicios técnicos de internet, según lo establecido en cada momento en el “Alibaba.com Transaction Service Agreement”, que forma parte del “Alibaba.com Free Membership Agreement”.	5.1 AliExpress shall provide the Seller with the technical services related to the contents on the AliExpress ES Platform, including, without limitation, management of the Category, publication of Category products, transaction management services, and any other software and online technical services. as specified from time to time in the “Alibaba.com Transaction Services Agreement” which is incorporated into the “Alibaba.com Free Membership Agreement".
Cláusula 6. Derechos y obligaciones de AliExpress	Clause 6. Right and obligations of AliExpress
6.1 AliExpress tiene la obligación de realizar trabajos de mantenimiento para el normal funcionamiento de los Servicios de Categoría, con la finalidad de permitir al Vendedor llevar a cabo correctamente sus actividades dentro de la Categoría a la que se haya adherido. AliExpress tiene el derecho de realizar ajustes al tipo, condiciones de comercialización y a la cantidad de los productos publicados por el Vendedor (incluyendo, pero sin limitarse, a poner su stock a 0), de acuerdo con las circunstancias de cada Categoría, el ámbito de actividad de los Vendedores y las circunstancias efectivas de su actividad, en particular pero no solo, cuando el Vendedor haya incumplido en algún punto el presente Contrato. Además, el Vendedor autoriza expresamente a AliExpress para realizar ajustes a las condiciones de comercialización de los productos publicados por el Vendedor cuando sea preciso para adaptarse a las condiciones de promociones a las que el Vendedor haya decidido adherirse.	6.1 AliExpress has the obligation of performing maintenance work for normal operation of the Category Services, in order to enable the Seller to correctly conduct its activities within the Category which it has joined. AliExpress has the right to make adjustments to the type, commercialization conditions and quantity of the products published by the Seller (including, but without being limited to, changing the stock to 0), according to the circumstances of each Category, the Sellers' scope of activity, and the effective circumstances of their activity, particularly, but not limited to, when the Seller has breached any provision of this Agreement. Additionally, the Seller expressly authorizes AliExpress to adjust the commercialization conditions of the products published by the Seller when it is required to adjust to the conditions of promotions to which the Seller has decided to adhere.
6.2 En caso de incumplimiento por el Vendedor del presente Contrato o de los Contratos del Usuario de la Plataforma, o en caso de que AliExpress tuviera motivos para sospechar que el Vendedor, en perjuicio de los consumidores, de terceros titulares de derechos o de AliExpress, realiza o pudiera realizar actos en incumplimiento del presente Contrato o de los Contratos del Usuario de la Plataforma o del ordenamiento jurídico aplicable, AliExpress tendrá derecho a adoptar Medidas de Gestión de la Plataforma ES AliExpress sobre la cuenta AliExpress del Vendedor (incluyendo, pero sin limitarse, a poner su stock a 0), así como cualesquiera otras cuentas AliExpress administradas por el Vendedor.	6.2 In the event of a breach of the Agreement or the Platform User Agreements by the Seller, or should AliExpress have reasons to suspect that the Seller is conducting or may conduct actions that are harmful to the consumers, third-party right holders or AliExpress in breach of this Agreement or the Platform User Agreements or applicable law, AliExpress shall be entitled to take Measures for the Management of the AliExpress ES Platform regarding the Seller's AliExpress account (including, but without being limited to, changing the stock to 0), as well as any other AliExpress accounts managed by the Seller.
6.3 AliExpress tiene derecho a establecer y modificar las reglas de adhesión aplicables a cada Categoría, entre otras, para mantener el normal funcionamiento de cada Categoría.	6.3 AliExpress has the right to establish and change the joining rules applicable to each Category, among others, to maintain normal operation of each Category.
6.4 AliExpress no tiene obligación de realizar auditorías sobre las actuaciones comerciales del Vendedor en la Plataforma ES AliExpress, los productos o sobre cualesquiera otras actuaciones relacionadas con las transacciones que se realicen en la Plataforma ES AliExpress. No obstante, si AliExpress tuviera motivos para sospechar que el Vendedor realiza o pudiera realizar actos durante las transacciones en incumplimiento del presente Contrato o de los Contratos del Usuario de la Plataforma o del ordenamiento jurídico aplicable, en perjuicio de los derechos de los consumidores, de terceros titulares de derechos o de AliExpress, AliExpress tendrá derecho a realizar auditorías, y a exigir al Vendedor la entrega de cualesquiera documentos acreditativos al respecto.	6.4 AliExpress has no obligation to conduct audits on the Seller's commercial actions on the AliExpress ES Platform, the products, or any other actions pertaining to the transactions conducted on the AliExpress ES Platform. However, should AliExpress have grounds to suspect that the Seller is conducting or may conduct any actions in breach of this Agreement or the Platform User Agreements or applicable law, harming the rights of consumers, of third-party right holders, or of AliExpress during the transactions, AliExpress shall be entitled to conduct audits and require that the Seller provide any relevant supporting documents.
6.5 Sin perjuicio de lo anterior, AliExpress tiene derecho, pero no obligación, a realizar inspecciones aleatorias sobre los productos vendidos (o que vayan a ser vendidos) por el Vendedor para verificar la legítima procedencia de los mismos, y exigir al Vendedor la entrega de los correspondientes documentos acreditativos. AliExpress tiene derecho, tras realizar un análisis inicial sobre la legitimidad de los productos en función de las circunstancias y reglas aplicables, a gestionar los productos de acuerdo con lo establecido por la normativa aplicable.	6.5 Without prejudice to the above, AliExpress has the right, but not the obligation, to conduct random inspections of the products sold (or to be sold) by the Seller to verify their legitimate origin and require that the Seller provides the corresponding supporting documents. AliExpress has the right, after conducting an initial examination of the legitimacy of the products according to the circumstances and applicable rules, to manage the products as established in the applicable legislation.
6.6 AliExpress tiene derecho a establecer los criterios de control de calidad de los productos bajo cada Categoría, teniendo en cuenta los requisitos exigibles de calidad para los productos publicados en el lugar de procedencia, venta, distribución o en cualquier otro lugar, y establecer los requisitos de entrada y criterios de inspección de los productos del Vendedor.	6.6 AliExpress has the right to establish the quality control criteria for the products in each Category, taking into account the quality requirements for the products published in their place of origin, sale, distribution, or in any other location, and to establish the requirements for entry and criteria for inspection of the Seller's products.
6.7 AliExpress no será, en ningún caso, responsable de las obligaciones derivadas de las transacciones comerciales que Usted celebre con los usuarios a través de la Plataforma ES AliExpress. En particular, pero no limitado a, AliExpress no será responsable de entregar los productos, de su estado e idoneidad, de ejecutar efectivamente el derecho de desistimiento de los usuarios, de ofrecer las garantías legales a las que obligue en cada caso la legislación vigente, de ofrecer servicios postventa, etc.	6.7 AliExpress shall in no case be responsible for the obligations arising from the commercial transactions which You conduct with the users through the AliExpress ES Platform. In particular, but without limitation, AliExpress shall not be responsible for delivering the products, their condition and suitability, for effectively exercising users' right of withdrawal, for offering the legal guarantees established by the legislation in force, for offering post-sale services, etc.
Cláusula 7. Declaraciones y garantías del Vendedor	Clause 7. Representations and warranties of the Seller
7.1 El Vendedor cuenta con la capacidad jurídica y de obrar para la suscripción del presente Contrato, utilizar los Servicios de Categoría y realizar la venta de productos y prestación de servicios relativos a los mismos, de conformidad con el ordenamiento jurídico aplicable, que se obliga a cumplir en todo momento, en particular pero no limitado a, el Vendedor confirma ser y se obliga a continuar siendo titular de todas las licencias y permisos administrativos requeridos para la lícita comercialización de los productos en la Plataforma ES AliExpress. El Vendedor se obliga a que todos los actos realizados bajo el presente Contrato lo sean por personal con la capacidad y poderes suficientes para representar legalmente y vincular al Vendedor.	7.1 The Seller has the legal and acting capacity to sign this Agreement, use the Category Services, and perform the sale of the products and the provision of services pertaining to them, pursuant to applicable law, which it undertakes to comply with at all times. In particular, but without limitation, the Seller confirms that it is and undertakes to continue to be the holder of all the licenses and administrative permits required for the lawful commercialization of the products on the AliExpress ES Platform. The Seller undertakes to ensure that all the actions performed under this Agreement are performed by staff with sufficient capacity and powers to legally represent and bind the Seller.
7.2 El Vendedor se obliga a actuar de buena fe en la Plataforma ES AliExpress, cumplir el principio de integridad, honestidad y de competencia leal, proteger efectivamente los derechos de los consumidores y de los terceros titulares de derechos, no realizar transacciones ilícitas, falsas, incorrectas, que atenten contra la moral y el orden público o sean perjudiciales para el entorno de mercado justo y de buena fe de la Plataforma ES AliExpress.	7.2 The Seller undertakes to act in good faith on the AliExpress ES Platform, comply with the principle of integrity, honesty, and fair competition, effectively protect the rights of consumers and third-party right holders, not to conduct unlawful, false, or inaccurate transactions or transactions that breach public morals and order or are harmful to the fair market and to the good faith of the AliExpress ES Platform.
7.3 El Vendedor se obliga a facilitar información y documentación veraz, legítima, correcta, actualizada y válida a AliExpress y a los consumidores, y asegurar que informaciones tales como la dirección de correo electrónico, teléfono, dirección postal y código postal sean los actuales, garantizando que AliExpress y otros usuarios puedan utilizar los anteriores datos para contactar con el Vendedor. Asimismo, el Vendedor tiene la obligación de facilitar la información y la documentación actualizada en caso de que sufrieran cambios efectivos.	7.3 The Seller undertakes to provide true, legitimate, correct, updated and valid information and documents to AliExpress and consumers, and to ensure that such information as its email address, telephone number, postal address, and post code are the current ones, ensuring that AliExpress and other users can use said data to contact the Seller. Likewise, the Seller has the obligation to provide updated information and documents should they change.
7.4 El Vendedor se obliga a no publicar productos no específicos para una Categoría bajo una Categoría específica y a no publicar productos específicos para una Categoría bajo una Categoría no específica.	7.4 The Seller undertakes not to publish non-specific products for a Category under a specific Category and not to publish specific products for a Category under a non-specific Category.
7.5 El Vendedor manifiesta ser y se obliga a ser durante toda la vigencia del Contrato titular de todos los derechos de los productos publicados, incluyendo pero sin limitarse a la titularidad u otro derecho de uso legítimo de la marca y cualesquiera otros derechos de propiedad intelectual e industrial aplicables. Asimismo, el Vendedor se obliga a no publicar ni comercializar productos que infrinjan derechos de marca u otros derechos de propiedad intelectual o industrial o derechos de comercialización de terceros, ni a realizar, a través de la Plataforma ES AliExpress actos de competencia desleal. El Vendedor manifiesta estar y se obliga a estar durante toda la vigencia del Contrato autorizado para vender los productos en España y, en particular, a través de plataformas online dirigidas a la venta en España, tales como la Plataforma ES AliExpress.	7.5 The Seller represents that it is and undertakes to be, during the term of the Agreement, the holder of all the rights over the published products, including, without limitation, ownership or other right of legitimate use of the trademark and any other applicable rights of intellectual and industrial property. Likewise, the Seller undertakes not to publish or commercialize products that breach trademark or other intellectual or industrial property rights or commercialization rights of third parties, or to commit acts of unfair competition through the AliExpress ES Platform. The Seller declares that it is and undertakes to be, during the term of the Agreement, authorised to sell products in Spain, and in particular through online platforms for sale in Spain, such as the AliExpress ES Platform.
7.6 El Vendedor se compromete a utilizar los datos obtenidos de AliExpress únicamente a efectos de poder ejecutar las correspondientes transacciones en la Plataforma ES AliExpress, comprometiéndose a no realizar ningún otro acto, incluyendo pero sin limitarse a la copia, distribución o cualquier otra comunicación pública de los datos de otros usuarios publicados en la Plataforma ES AliExpress.	7.6 The Seller undertakes to use the data obtained from AliExpress only to perform the relevant transactions on the AliExpress ES Platform, undertaking not to perform any other action, including, but without limitation, the copying, distribution, or any other public communication of the data of other users published on the AliExpress ES Platform.
7.7 El Vendedor se obliga a aceptar las inspecciones y las auditorías realizadas, en su caso, por AliExpress en relación con la procedencia legítima de los productos. El Vendedor tiene la obligación de conservar cualquier documento que pueda acreditar la procedencia legítima de sus productos. En el supuesto de no poder acreditar la procedencia legítima de los productos, AliExpress valorará la autenticidad de los productos en función de las circunstancias. El Vendedor acepta asumir cualquier consecuencia derivada de una valoración desfavorable.	7.7 The Seller undertakes to accept any inspections and audits conducted, if this were the case, by AliExpress regarding the lawful origin of the products. The Seller has the obligation to keep any document that might prove the legitimate origin of its products. Should the Seller be unable to prove the lawful origin of the products, AliExpress shall assess the authenticity of the products according to the circumstances. The Seller accepts to bear any consequence arising from an unfavourable assessment.
7.8 El Vendedor se obliga a aceptar las inspecciones aleatorias que AliExpress realice sobre los productos para verificar su calidad y autenticidad, con el motivo de mantener la continuidad adecuada del mercado y garantizar los intereses de los consumidores y de terceros titulares de derechos (incluyendo pero sin limitarse a las inspecciones realizadas por entidades independientes de inspección de calidad o por titulares de derechos de marca, o la cooperación mediante instrucciones a empresas de logística para llevar a cabo dichas inspecciones). El Vendedor puede expresar su desconformidad con los resultados de la inspección mediante la aportación de documentos acreditativos. El Vendedor correrá con los gastos que sean razonablemente incurridos en las inspecciones donde se hubieran detectado productos defectuosos o que infrinjan derechos de propiedad intelectual o industrial.	7.8 The Seller undertakes to accept any random inspections of the products that AliExpress may conduct to verify their quality and authenticity, in order to maintain adequate market continuity and guarantee the interests of the consumers and of third-party right holders (including, but without limitation, inspections conducted by independent quality inspectors or trademark holders, or cooperation through instructions to logistics companies to conduct said inspections). The Seller may express its disagreement with the outcome of the inspection by submitting supporting documents. The Seller shall bear any expenses reasonably incurred in any inspections that identify faulty products or products in breach of intellectual or industrial property rights.
Cláusula 8. Derechos y obligaciones del Vendedor	Clause 8. Rights and obligations of the Seller
8.1 El Vendedor debe cumplir rigurosamente con el presente Contrato, incluyendo pero sin limitarse a las declaraciones y garantías, así como con el ordenamiento jurídico vigente en cada momento.	8.1 The Seller shall rigorously comply with this Agreement, including, but without limitation, the representations and warranties, as well as with any applicable laws which are in force from time to time.
8.2 El Vendedor debe realizar sus actividades de acuerdo con las Reglas para los Vendedores de la Plataforma ES AliExpress y cualesquiera otras reglas que rijan la Plataforma ES AliExpress, y aceptar las sanciones impuestas según las Reglas para los Vendedores de la Plataforma ES AliExpress en caso de incumplimiento; en particular pero no limitado a, el Vendedor se compromete a participar y respetar las reglas de todos aquellos métodos de resolución de controversias que puedan implementarse en la Plataforma ES AliExpress para gestionar reclamaciones de usuarios o terceros titulares de derechos.	8.2 The Seller shall conduct its activities in accordance with AliExpress Rules for the ES Platform Sellers and any other rules that rule the AliExpress ES Platform, and accept the penalties imposed under the AliExpress Rules for the ES Platform Sellers in the event of a breach; in particular, but without limitation, the Seller undertakes to participate and comply with the rules of any methods for the settlement of disagreements that might be implemented on the AliExpress ES Platform to handle claims from users or third-party right holders.
8.3 Sin perjuicio de lo previsto en la cláusula 4.1(d), el Vendedor tendrá derecho a participar en las promociones que promueva u organice AliExpress con ocasión de fechas y periodos especiales (a modo de ejemplo, pero no limitado a, rebajas, Navidad, San Valentín, Día de la Madre y Black Friday) o promociones de categorías de productos concretos. El Vendedor empleará sus mejores esfuerzos en participar y en aceptar los términos y condiciones de adhesión por su parte a las referidas actividades promocionales.	8.3 Without prejudice to the provisions in clause 4.1(d), the Seller shall have the right to take part in the promotions initiated or organised by AliExpress on special dates and periods (e.g., but without limitation, sales, Christmas, Valentine's Day, Mother's Day, and Black Friday) or promotions for specific product categories. The Seller shall apply best efforts to take part and consent the terms and conditions for adhering such promotional activities.
8.4 El Vendedor debe cumplir con las obligaciones de protección al consumidor. En particular, pero no limitado a: (i) garantizar en todo momento los derechos de los consumidores; (ii) cumplir con las exigencias establecidas por la normativa española aplicable en materia de devoluciones, cambios y derecho al desistimiento; y (iii) ofrecer la información sobre productos, prestar los servicios y garantías postventa de conformidad con las exigencias legales y suministrar al consumidor la información legalmente exigida con carácter previo y posterior a la transacción.	8.4 The Seller shall fulfil its consumer protection duties. In particular, but without limitation, it shall: (i) guarantee consumers' rights at all times; (ii) comply with the requirements set by Spanish law as regards returns, replacement, and right of withdrawal; and (iii) offer information on products, provide post-sale services and guarantees in accordance with legal requirements and provide consumers with the information legally required prior to and after transactions.
8.5 El Vendedor debe cumplir con las leyes y reglamentos de España (incluyendo normativa de la Unión Europea, estatal, autonómica y local que le resulte de aplicación), incluyendo pero sin limitarse a las leyes en materia aduanera, tributaria, de protección de derechos del consumidor, protección de datos, y cualesquiera otras que sean de aplicación.	8.5 The Seller shall comply with Spanish law and regulations (including the applicable European Union, State, regional, and local regulations), including, but without limitation, laws regarding customs, taxation, the protection of consumer rights, data protection, and any other applicable regulations.
8.6 El Vendedor se obliga a colaborar en todo momento con cualesquiera autoridades administrativas y judiciales competentes.	8.6 The Seller undertakes to collaborate at all times with any competent administrative and legal authorities.
Cláusula 9. Autorización para el uso de datos	Clause 9. Authorisation for data use
9.1 Para efectuar el Inicio de los Servicios, Usted autoriza a AliExpress para utilizar y comunicar la información pública que forma parte de sus datos (por ejemplo, la información sobre su licencia de actividad).	9.1 As regards the Start of the Services, You hereby authorise AliExpress to use and communicate the public information that is part of your data (e.g. information about your activity licence).
Cláusula 10. Responsabilidad por incumplimiento	Clause 10. Liability for infringement
10.1 Si AliExpress sufriera cualquier daño, recibiera reclamaciones de usuarios o de terceros, o fuera sujeto de sanciones impuestas por cualquier administración pública, organismos jurisdiccionales o tribunales arbitrales, como consecuencia del incumplimiento por el Vendedor de leyes y reglamentos aplicables, de resoluciones judiciales o administrativas, de los Contratos del Usuario de la Plataforma, o del presente Contrato, Usted deberá indemnizar a AliExpress por todos los daños sufridos, incluyendo pero sin limitarse a: los importes en concepto de indemnización por incumplimiento o compensación pagadas por AliExpress a terceras partes por cualquier tipo de resolución; los importes que pudiera haber pagado AliExpress a los compradores por devolución o desistimiento, incumplimiento contractual o compensación; los importes de sanciones impuestas a AliExpress; los honorarios de abogados y gastos incurridos por AliExpress, necesarios para eliminar consecuencias negativas, etc. AliExpress tiene derecho a deducir de manera preferente el depósito realizado por el Vendedor, debiendo el Vendedor resarcir cualquier diferencia en su caso.	10.1 Should AliExpress suffer damages, receive claims from users or third parties, or be subject to sanctions imposed by any public administration, jurisdictional bodies, or arbitration courts, as a result of the breach by the Seller of applicable laws and regulations, court or administrative ruling, of the Platform User Agreements, or of this Agreement, You shall compensate AliExpress for all the damages suffered, including, but without limitation: compensation for breach paid by AliExpress or any other compensation paid to third parties in any type of ruling; the amounts AliExpress would have paid to buyers due to return or withdrawal, breach of contract, or compensation; sanctions imposed to AliExpress; the legal fees and expenses incurred by AliExpress when required to remove negative consequences, etc. AliExpress is entitled to preferential deduction of the deposit made by the Seller, and the Seller shall pay any difference.
10.2 Si el Vendedor tuviera cualquier cantidad vencida y pendiente de pago a AliExpress, salvo pacto a contrario, deberá pagar a AliExpress una penalidad diaria por incumplimiento equivalente a 0,5% de la cantidad impagada.	10.2 Should the Seller have any amount due and payable to AliExpress, unless otherwise agreed, it shall pay AliExpress a daily penalty for breach equal to 0.5% of the unpaid amount.
10.3 Si AliExpress causara un perjuicio material al Vendedor por dolo o negligencia grave, AliExpress asumirá la responsabilidad de indemnizar al Vendedor conforme a la Cláusula 12 del presente Contrato. El importe a indemnizar en concepto de incumplimiento contractual o compensación que AliExpress debe pagar al Vendedor se calculará sobre la base de los perjuicios directos y efectivos sufridos por el Vendedor.	10.3 Should AliExpress cause significant damage to the Seller due to wilful intent or gross negligence, AliExpress shall compensate the Seller pursuant to Clause 12 of this Agreement. The compensation for contractual breach or compensation which AliExpress must pay to the Seller shall be calculated on the basis of the direct and effective damages suffered by the Seller.
10.4 Si Usted ha sido dado de baja por AliExpress debido a la distribución de productos que infrinja derechos de propiedad intelectual o industrial, o por facilitar a AliExpress o a sus usuarios información o datos falsos, falsificados, desactualizados o inválidos, se considerará incumplimiento grave del presente Contrato, y AliExpress tendrá derecho a deducir el importe íntegro de su depósito, sin perjuicio del resto de medidas previstas en el presente Contrato.	10.4 If You have been deregistered by AliExpress due to a distribution of products that breaches intellectual or industrial property rights, or because You provided AliExpress or its users with false, falsified, obsolete, or invalid data, this shall be regarded as a serious breach of this Agreement, and AliExpress shall be entitled to deduct the entire amount of Your deposit, without prejudice to the other measures provided in this Agreement.
Cláusula 11. Confidencialidad	Clause 11. Confidentiality
11.1 Bajo el presente Contrato, por “Secretos Comerciales” se entenderá, entre otros, el presente Contrato, cualquier contrato o acuerdo complementario y cualquier otra información confidencial obtenida, recibida o tratada como consecuencia de la relación entre las Partes. Ninguna Parte podrá revelar, divulgar, editar o mostrar dicha información a terceros sin el expreso consentimiento de la Parte que revela el Secreto Comercial. Las obligaciones de confidencialidad de la presente Cláusula permanecerán en vigor durante un plazo de tres (3) años desde la fecha de terminación del presente Contrato.	11.1 Under this Agreement, “Trade Secrets” shall mean, among others, this Agreement, any other agreement or supplementary agreement, and any other confidential information obtained, received, or processed as a result of the relationship between the Parties. No Party may disclose, reveal, edit or display said information to third parties without express consent from the Party disclosing the Trade Secret. The confidentiality obligations set out in this Clause shall remain in force for three (3) years from the date of termination of this Agreement.
11.2 La Parte que haya revelado o divulgado un Secreto Comercial estará exenta de responsabilidad, (a) cuando la otra Parte haya aprobado por escrito su divulgación o la divulgación sea requerida por cualquier autoridad pública o judicial, o (b) cuando la información pase a ser pública.	11.2 The Party that has disclosed or revealed a Trade Secret shall be exempt from liability (a) when the other Party has approved its disclosure in writing or its disclosure is required by any public or legal authority, or (b) when the information becomes public.
Cláusula 12. Prevención de soborno comercial	Clause 12. Prevention of bribery
12.1 En caso de que se descubriera que el Vendedor, sus empleados, directivos, socios, representantes legales, o personas que ejerzan control efectivo sobre el Vendedor, o sociedades vinculadas con el mismo, haya ofrecido a AliExpress, sociedades vinculadas a AliExpress o sus empleados o asesores cualquier beneficio que exceda de lo ordinario, sea en especie, efectivo, bienes o derechos asimilados a efectivos, servicios, viajes, etc., se considerará que el Vendedor ha realizado actos de soborno comercial.	12.1 Should the Seller, its employees, managers, shareholders, legal representatives, or any person exercising effective control over the Seller, or its related companies, be found to have offered AliExpress, companies related to AliExpress or its employees or advisors any benefit that exceeds the ordinary, be it in kind, cash, goods, or rights similar to cash, services, travel, etc., the Seller shall be regarded as having engaged in bribery.
12.2 En caso de que concurran las circunstancias anteriores, AliExpress tendrá derecho a resolver cualquier relación con el Vendedor (incluyendo, entre otras, la basada en el presente Contrato) y (a discreción de AliExpress) a percibir del Vendedor una penalidad por incumplimiento contractual por importe de 100.000 RMB o su importe equivalente en Euros al cambio aplicable RMB/Euro y/o una indemnización calculada en atención a los daños económicos y de imagen sufridos por AliExpress con motivo del acto de soborno.	12.2 Should the above circumstances occur, AliExpress shall be entitled to terminate any relationship with the Seller (including, among others, the relationship based on this Agreement) and to (at AliExpress’ discretion) receive from the Seller a penalty for breach of contract for the amount of RMB 100,000 or its equivalent amount in Euros at the prevailing exchange rate of RMB/Euros and/or compensation calculated on the basis of the financial and image damages suffered by AliExpress due to the act of bribery.
Cláusula 13. Exención y limitación de la responsabilidad	Clause 13. Exemption and limitation of liability
13.1 Usted reconoce y está conforme en que AliExpress prestará los Servicios de Categoría de acuerdo al “estado del arte” o al “mejor estado del arte alcanzable” en cada momento. AliExpress, sobre la base del estado del arte actual, dedicará los mayores esfuerzos posibles para ofrecer las medidas de seguridad pertinentes y garantizar la seguridad y el normal funcionamiento de los servicios. No obstante, los Servicios se proporcionan “tal cual” y “como están disponibles” (“as is”), sin ninguna garantía o condición de ningún tipo, ya sea expresa o implícita. AliExpress declara expresamente que, debido a la posible existencia de circunstancias como virus, interrupciones en la conexión con la red, mantenimiento de sistemas, etc., así como cualquier situación potencial de fuerza mayor, no otorga ninguna garantía con respecto a los Servicios, en forma expresa o tácita, en particular, no garantiza, entre otros aspectos, la aplicabilidad, la ausencia de errores o fallos, la continuidad, la precisión o la fiabilidad de los Servicios, ni que sean adecuados a una finalidad específica.	13.1 You hereby acknowledge and agree that AliExpress shall provide the Category Services in accordance with the “state of the art” or “best state of the art achievable” at any time. AliExpress, on the basis of the current state of the art, shall devote every effort to offer the relevant security measures and guarantee the security and normal operation of the services. However, the Services are provided “as is”, with no guarantee or condition of any kind, be it explicit or implicit. AliExpress expressly declares that, due to the potential existence of such circumstances as viruses, disruptions in the network connection, system maintenance, etc., as well as any potential force majeure, it does not grant any guarantee regarding the Services, explicitly or tacitly. In particular, it does not guarantee, among other aspects, the applicability, absence of errors or failures, continuity, accuracy, or reliability of the Services, or that they are suitable for a specific purpose.
13.2 AliExpress no responderá de los daños y perjuicios ocasionados por las siguientes circunstancias, incluyendo, entre otros, el lucro cesante, el fondo de comercio, daños derivados del uso, la pérdida de datos, y otros daños o perjuicios intangibles (con independencia de si AliExpress ha sido o no notificado de la posible existencia de dichos daños).	13.2 AliExpress shall not be liable for any damages or losses caused by the following circumstances, including, among others, loss of income, goodwill, damages derived from use, data loss, and other intangible damages or losses (regardless of whether AliExpress has been notified of the potential existence of said damages).
13.3 Usted reconoce y está conforme con que AliExpress o sus sociedades vinculadas no son organismos judiciales ni está en su labor comprobar su cumplimiento o no infracción de la normativa y regulación aplicable, ni tampoco de los derechos de terceros, y, por lo tanto, a la hora de verificar y comprobar la documentación y los materiales suministrados por Usted y los compradores, sólo puede hacerlo con un nivel de conocimiento ordinario o no profesional y de una forma meramente superficial. Usted debe garantizar que la documentación y materiales que suministra son auténticas, correctas, actualizadas y legales, y asumirá el riesgo y ventura de la falsedad, ilicitud e incorrección de la información o dato suministrado por Usted o el comprador. Si Usted sufre cualquier daño con ocasión a lo anterior, está conforme en que reclamará directamente frente al infractor. En caso de que AliExpress y sus sociedades vinculadas mediaran la disputa, Usted reconoce y está conforme en que AliExpress sólo estará actuando en virtud de un encargo de su parte, AliExpress y sus sociedades vinculadas no pueden garantizar que el resultado de la mediación cumpla sus expectativas, y no asumirán ninguna responsabilidad con respecto al resultado de la mediación ni, en su caso, al pago de cualquier fianza.	13.3 You hereby acknowledge that AliExpress and its related companies are not judicial bodies and are not responsible for verifying your compliance or non-infringement with/of the applicable laws and regulations and other third party rights. Thus, when it comes to verifying and checking the documents and materials provided by You and the buyers, it can only do so at an ordinary, non-professional level of knowledge, in a merely superficial manner. You hereby guarantee that the documents and materials which You provide are authentic, correct, updated, and legal, and assume any risks from the falsity, unlawfulness, and inaccuracy of the information or data provided by You or the buyer. Should You suffer any damages due to the above, You agree that You shall file a claim directly against the infringing party. Should AliExpress and its related companies mediate in the dispute, You hereby acknowledge and agree that AliExpress shall only act on your instructions. AliExpress and its related companies cannot guarantee that the result of the mediation will meet your expectations, and shall not be held liable for the outcome of the mediation or, if applicable, for payment of any security.
13.4 Usted reconoce y está conforme en que la responsabilidad máxima total de AliExpress y sus sociedades vinculadas en relación con el presente Contrato y derivado de la aceptación y ejecución del mismo será de 3000 RMB o su importe equivalente en Euros al cambio aplicable RMB/Euro. A estos efectos, será irrelevante si ha habido incumplimiento contractual o responsabilidad civil, si ha mediado dolo o culpa, o si Usted ha pagado cualquier gasto a AliExpress. Todo ello es sin perjuicio de la exención o limitación de responsabilidad de AliExpress en virtud del presente Contrato o de cualquier otro contrato o acuerdo suscrito con Usted.	13.4 You hereby acknowledge and agree that the maximum total liability of AliExpress and its related companies regarding this Agreement and arising from its acceptance and enforcement shall be RMB 3000 or its equivalent amount in Euros at the prevailing exchange rate of RMB/Euros. To this end, whether a breach of contract or civil liability has occurred, whether wilful intent or fraud was involved, or whether You have paid AliExpress for any expenses shall be irrelevant. All this without prejudice to the exemption or limitation of liability of AliExpress by virtue of this Agreement or any other agreement or pact signed with You.

(b) Cuando los Contratos del Usuario de la Plataforma tales como, y sin que sirva de limitación, el “Alibaba.com Free Membership Agreement” y el “Alibaba.com Transaction Services Agreement”, o los restantes contratos firmados por Usted terminen por cualquier motivo, el presente Contrato terminará automáticamente.	(b) When the Platform User Agreements, such as, and without limitation, the “Alibaba.com Free Membership Agreement”, and the “Alibaba.com Transaction Services Agreement”, or the other agreements signed by You terminate for any reason, this Agreement shall be automatically terminated.
14.2 Terminación anticipada:	14.2 Early termination:
(a) Salvo acuerdo en contra, cualquier Parte podrá terminar el presente Contrato mediante comunicación por escrito con treinta (30) días naturales de antelación, sin ninguna responsabilidad. Si el Vendedor pulsa sobre el botón “Solicitar la salida” de la Plataforma ES AliExpress (si fuera aplicable) para solicitar la terminación del presente Contrato, se considerará que el Vendedor ha realizado la comunicación por escrito para la terminación del presente Contrato. El Vendedor entrará inmediatamente en el Proceso de Baja.	(a) Unless otherwise agreed, either Party may terminate this Agreement by notifying the other Party in writing thirty (30) calendar days in advance, with no liability. If the Seller clicks the “Request exit” button in the AliExpress ES Platform (if applicable) to request the termination of this Agreement, the Seller shall be regarded as having made the communication in writing for the termination of this Agreement. The Seller shall immediately enter the Deregistration Process.
(b) El Vendedor que comercialice con marcas especiales, deberá cumplir con las condiciones listadas aquí, o en aquellos sitios web o dominios que Nosotros indiquemos en cada momento, y únicamente podrá terminar el presente Contrato con el consentimiento de AliExpress una vez confirmado que se dan las siguientes condiciones:	(b) Any Seller commercialising special brands shall comply with the conditions listed here, or such successor site and/or domains as may be announced by Us from time to time, and may only terminate this Agreement with AliExpress' authorisation after confirming that the following conditions are met:
• No existen transacciones pendientes de productos bajo las marca de su área;	• There are no pending transactions involving products of the brands in their area;
• No existen “Servicios de Garantía de Productos” pendientes de resolución para los productos bajo las marca de su área;	• There are no “Product Warranty Services” pending resolution for the products of the brands in their area;
• No existen reclamaciones pendientes de los productos bajo las marca de su área, y se han pagado y solucionado todas las indemnizaciones.	• There are no pending claims regarding the products of the brands in their area, and all compensations have been paid and settled.
(c) En cualquiera de los siguientes supuestos, AliExpress tiene derecho a finalizar inmediatamente la prestación de los Servicios de Categoría y/o la terminación del presente Contrato, sin ninguna responsabilidad:	(c) In any of the following cases, AliExpress is entitled to immediately terminate the provision of the Category Services and/or the termination of this Agreement, with no liability:
• Usted no ha pagado dentro del plazo establecido, y no ha realizado dicho pago dentro del plazo establecido para AliExpress tras ser reclamado;	• You have not paid by the deadline set, and you have not made said payment by the deadline established for AliExpress after a claim was filed;
• Usted ha entregado información o documentación inveraz, incorrecta, ilegítima, desactualizada o inválida, o el Vendedor no puede acreditar la veracidad, corrección, legitimidad, actualidad o validez de su información o documentación;	• You have provided false, inaccurate, unlawful, obsolete, or invalid information or documents, or the Seller cannot prove the veracity, correctness, lawfulness, updated nature, or validity of its information or documents;
• Usted ha incumplido las leyes, reglamentos y políticas del país pertinente (incluyendo normativa de la Unión Europea, estatal, autonómica y local que les resulte de aplicación) y en particular, pero no limitado a, Usted ha incumplido el ordenamiento aplicable en materia aduanera, tributaria, de protección de derechos del consumidor, protección de datos, y cualesquiera otra que sean de aplicación;	• You have breached the laws, regulations, and policies of the relevant country (including the applicable European Union, State, regional, and local regulations), and in particular, but without limitation, You have breached the applicable customs, taxation, consumer rights protection, data protection, and any other applicable regulations;
• Usted ha incumplido con cualquier declaración y garantía, o ha incumplido lo establecido en las Cláusulas 10 o 11;	• You have breached any representation or warranty, or You have breached the provisions in Clauses 10 or 11;
• Usted ha incumplido los Contratos del Usuario de la Plataforma o normas relacionadas, AliExpress ha procedido a darle de baja, o ha terminado los Contratos de Usuario de la Plataforma suscritos con Usted;	• You have breached the Platform User Agreements or related regulations, AliExpress has proceeded to deregister You, or has terminated the Platform User Agreements signed with You;
• Usted ha incumplido los Criterios de Evaluación del Rendimiento para el año 2017 y/o las normas de gestión del funcionamiento;	• You have breached the Performance Evaluation Criteria for 2017 and/or the operation management standards;
• Usted ha incumplido cualquier contrato con sociedades vinculadas a AliExpress;	• You have breached any agreement with companies related to AliExpress;
• Usted ha realizado o puede realizar otros actos que dañan gravemente los intereses o la reputación comercial de AliExpress, o los intereses de usuarios de la Plataforma ES AliExpress o de cualquier tercero;	• You have committed or may commit other actions that seriously damage the interests or commercial reputation of AliExpress, or the interests of AliExpress ES Platform users or any third party;
(d) Si el Vendedor no ha ingresado en AliExpress utilizando el nombre y la contraseña de la cuenta AliExpress durante más de noventa (90) días, AliExpress tiene derecho a terminar el presente Contrato.	(d) If the Seller has not logged into AliExpress using the username and password of the AliExpress account for more than ninety (90) days, AliExpress is entitled to terminate this Agreement.
(e) La ocurrencia o cumplimiento de cualquier otra condición de terminación establecida en el presente Contrato, causando la terminación del presente Contrato. 14.3 Actuaciones posteriores a la terminación del Contrato:	14.3 Actions after the termination of the Agreement:
(a) Una vez terminado el presente Contrato, AliExpress no tiene la obligación bajo este Contrato de conservar ningún dato o información relativos a Servicios de Categoría en la cuenta del Vendedor, o de redirigir cualquier información hacia terceros, ni tendrá ninguna responsabilidad frente al Vendedor o terceros por la terminación del presente Contrato;	(a) Once this Agreement has terminated, AliExpress does not have the obligation under this Agreement to keep any data or information pertaining to Category Services in the Seller's account, or forward any information to third parties, and shall not be liable towards the Seller or third parties due to the termination of this Agreement;
(b) Usted se compromete a seguir cumpliendo, en relación con las transacciones realizadas en la Plataforma ES AliExpress, con todo el ordenamiento jurídico vigente aplicable a dichas transacciones, en particular pero no limitado a, con todo el ordenamiento aplicable a la venta a consumidores como garantías, servicios post-venta, protección de datos, y cualesquiera otros que resulten de aplicación.	(b) You hereby undertake to continue to comply, regarding the transactions conducted on the AliExpress ES Platform, with all applicable laws to said transactions, in particular, without limitation, the applicable laws to sale to consumers, such as guarantees, post-sale services, data protection, and any other applicable regulations.

(d) AliExpress tiene derecho a eliminar la información que el Vendedor ha subido sobre los productos bajo cada Categoría y cualquier otra información relacionada, cuando el Vendedor abandone dicha Categoría o por la finalización del presente Contrato;	(d) AliExpress has the right to remove any information uploaded by the Seller about the products under each Category and any other related information, when the Seller leaves said Category or due to the termination of this Agreement;
(e) Si el Vendedor ha llegado a un acuerdo transaccional con un comprador de AliExpress en relación con un determinado producto, AliExpress tiene derecho a cancelar dicha transacción discrecionalmente. AliExpress tiene derecho a comunicar la terminación del presente Contrato a la parte compradora de la transacción.	(e) If the Seller has reached a transactional agreement with an AliExpress buyer regarding a certain product, AliExpress is entitled to cancel said transaction at its own discretion. AliExpress has the right to notify the buyer in the transaction of the termination of this Agreement.
14.4 Actuaciones previas a la finalización del Contrato:	14.3 Actions prior to the termination of the Agreement:
(a) Completar el Proceso de Baja: cuando el Vendedor solicite la terminación de, o AliExpress tome la decisión de terminar, la prestación de los Servicios de Categoría y/o el presente Contrato, se iniciará el Proceso de Baja, debiendo el Vendedor:	(a) Completing the Deregistration Process: when the Seller requests the termination of, or AliExpress takes the decision to terminate, the provision of the Category Services and/or this Agreement, the Deregistration Process shall start, and the Seller shall:
• Tramitar y finalizar todas las transacciones vigentes;	• Process and complete all ongoing transactions;
• Tramitar y finalizar todas las disputas transaccionales, controversias por infracción de derechos, o cualquier otra infracción o incumplimiento;	• Process and complete all transactional disputes, controversies over the infringement of rights, or any other infringement or breach;
• Cumplir con cualquier sanción recibida, pagar cualquier multa impuesta;	• Comply with any sanction received, pay any fine imposed;
• Cerciorarse de que no existan otros incumplimientos contractuales u obligaciones pendientes y exigibles conforme a otras relaciones contractuales.	• Ensure that there are no other breaches of contract or pending and enforceable obligations under other contractual relations.
(b) Una vez iniciado el Proceso de Baja, AliExpress tiene derecho a suspender o finalizar total o parcialmente la prestación de los Servicios de Categoría. (c) Cuando el Vendedor haya finalizado con el Proceso de Baja de cada Categoría, si hubiera cualquier pago reembolsable, será pagado dentro del plazo de treinta (30) días hábiles tras la salida del Vendedor de cada Categoría. En caso de terminación del presente Contrato, el reembolso se realizará dentro de los treinta (30) días hábiles tras su terminación. 15.1 Una vez que Usted haya sido incluido en una Categoría y haya aceptado los servicios de la Plataforma AliExpress, deberá asegurar la validez de los datos de contacto facilitados en el perfil del Vendedor (incluyendo su dirección de correo electrónico, teléfono de contacto, dirección postal, etc.). En caso de modificaciones a los datos de contacto, Usted tiene la obligación de facilitar inmediatamente los datos pertinentes en inglés y en español, manteniéndose localizable.	15.1 Once You have been included in a Category and have accepted the AliExpress ES Platform services, You must ensure the validity of the contact data provided in the Seller profile (including your email address, telephone number, postal address, etc.). 15.2 La cuenta de usuario (incluyendo subcuentas) generada en el momento de la creación de su ingreso en la Plataforma ES AliExpress para acceder a la Plataforma ES AliExpress y recibir mensajes del sitio web e información del sistema, así como cualquier foro de discusión que AliExpress o sus afiliadas pongan a disposición, serán medios de comunicación válidos.	15.2 The user account (including subaccounts) generated when You create your login into the AliExpress ES Platform to access the AliExpress ES Platform and receive website messages and information from the system and via any discussion forum provided by AliExpress and/or its affiliates shall be valid media for communication.

15.4 Las comunicaciones realizadas por AliExpress: (i) si se realizan por escrito a través de medios electrónicos, incluyendo pero sin limitarse a las comunicaciones públicas en la Plataforma ES AliExpress, los mensajes de texto enviados al número de teléfono facilitado por Usted, los correos electrónicos enviados a la dirección de correo electrónico facilitado por Usted, los mensajes de sistema y los mensajes internos del sitio web, serán consideradas válidamente entregadas cuando hayan sido enviadas con éxito; (ii) si se realizan por escrito mediante soporte papel, serán igualmente consideradas válidamente entregadas el quinto día posterior al de la remisión realizada a la dirección postal indicada.	15.4 Communications sent by AliExpress: (i) if made in writing by electronic media, including, but without limitation, public communications on the AliExpress ES Platform, the text messages sent to the telephone number provided by You, the emails sent to the email address provided by You, the system messages and the internal website messages shall be regarded as validly delivered when they are successfully sent; (ii) if made in writing in print, they shall also be regarded as validly delivered as of the fifth calendar day from the day the sending was done to the provided postal address.
15.5 En relación con cualquier disputa causada por las actividades transaccionales en la Plataforma ES AliExpress, Usted consiente el envío de documentos jurídicos (incluyendo pero sin limitarse a demandas) por las autoridades judiciales, cortes arbitrales o autoridades administrativas a través de los medios indicados en la cláusula 15.4 anterior u otros medios actuales de comunicación o mediante envío postal. El número de teléfono móvil, la dirección de correo electrónico y demás formas de comunicación indicadas por Usted son el número de teléfono móvil, la dirección de correo electrónico y y demás formas de comunicación facilitados durante el ingreso y actualización de su cuenta en la Plataforma AliExpress. Los documentos jurídicos enviados por las autoridades judiciales, arbitrales o administrativas a través de los anteriores medios de comunicación se considerarán entregados de conformidad con la cláusula anterior. La dirección postal indicada por Usted es su dirección contacto legal o la dirección postal válida para comunicaciones que Usted ha facilitado.	15.5 Regarding any dispute arising from the transactional activities on the AliExpress ES Platform, You authorise the delivery of legal documents (including, without limitation, claims) from the judiciary authorities, arbitration courts, or administrative authorities through the media specified in clause 15.4 above or by any other media or by post. The mobile telephone number, the email address and other channels for communication specified by You are the mobile telephone number, the email address and other channels for communication provided during the registration and updating of your AliExpress ES Platform account. The legal documents sent by the judiciary, arbitration, or administrative authorities through the media above shall be regarded as delivered as stipulated in the previous clause. 15.6 Usted acepta que las autoridades judiciales, arbitrales o administrativas podrán enviarle documentos legales a través de uno o varios medios de comunicación mencionados anteriormente. 15.8 Usted debe garantizar que los medios de comunicación facilitados son correctos, válidos y debidamente actualizados. Si por la inexactitud de los medios de comunicación, o por la falta de actualización de los mismos tras sufrir modificaciones, se produjera la entrega tardía o imposibilidad de entrega de cualesquiera documentos legales, Usted se responsabilizará de cualquier consecuencia legal que de ella se pudiera producir.	15.8 You must ensure that the channels for communications provided are correct, valid, and duly updated. 16.1 Los derechos y autorizaciones de los que AliExpress sea titular en virtud del presente Contrato, podrán ser total o parcialmente subcontratados, cedidos, transferidos, licenciados, delegados o sublicenciados a sociedades vinculadas o a cualquier tercero sin necesidad de consentimiento previo por parte de Usted. Usted no podrá transferir los derechos y obligaciones en virtud de este Contrato a tercero alguno sin el previo consentimiento por escrito de AliExpress.	16.1 The rights and authorisations of AliExpress under this Agreement may be totally or partially outsourced, assigned, transferred, licensed, delegated, or sublicensed to related companies or to any third party with no need for prior authorisation from You. You may not transfer the rights and obligations under this Agreement to any third party without previous authorisation in writing from AliExpress.

17.1 Para aquellos aspectos materiales no pactados o no afectados por el presente Contrato, se estará a las Reglas para los Vendedores de la Plataforma ES AliExpress, los Contratos del Usuario de la Plataforma o cualesquiera otras reglas aplicables de la Plataforma ES AliExpress.	17.1 Regarding those material matters that are not agreed in or not affected by this Agreement, the AliExpress Rules for the ES Platform Sellers, the Platform User Agreements or any other applicable rules of the AliExpress ES Platform shall apply.
17.2 En caso de que cualquier cláusula o una parte fuera declarada nula o inejecutable, dichas cláusulas o su parte serán excluidas, conservando la parte restante la plena eficacia legal.	17.2 Should any clause or part of clause be declared to be invalid or not enforceable, said clause or part of a clause shall be removed, with the other clauses or part of clause retaining their full legal effectiveness.
17.3 La vigencia, interpretación, modificación, ejecución y resolución de conflictos se regirán por la legislación de la Región Administrativa Especial de Hong Kong de la República Popular de China (“Hong Kong”). Las controversias derivadas de la suscripción, cumplimiento o interpretación del presente Contrato deberán ser resueltos mediante acuerdo amistoso. En caso de no poder llegar a un acuerdo, AliExpress y Usted aceptan someterse a los juzgados y tribunales de Hong Kong.	17.3 The validity, interpretation, modification, execution, and settlement of conflicts regarding these clauses shall be governed by the laws of the Special Administrative Region of Hong Kong of the People's Republic of China (“Hong Kong”). Any controversies arising from the signing, fulfilment, or interpretation of this Agreement shall be settled by amicable agreement. Should an agreement not be reached, AliExpress and You accept to subject yourselves to the courts and tribunals of Hong Kong.
